Terms of Service — Markdownly

1. Acceptance of Terms

By accessing or using Markdownly ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use Markdownly. By using the Service, you represent that you meet this age requirement. If you are under 18, you confirm that you have the consent of a parent or legal guardian.

3. Description of Service

Markdownly is a document-to-Markdown conversion platform. Users can upload files (up to 10 MB), provide URLs, or paste content to receive structured Markdown output. Uploaded documents are temporarily processed on third-party infrastructure (Vercel and Railway) and are automatically deleted after conversion, as described in our Privacy Policy. The Service is provided on an "as is" and "as available" basis.

4. Free & Paid Plans

Free Tier

The free tier provides a limited number of daily conversions at no cost with no account required. We reserve the right to modify, limit, or discontinue the free tier at any time without notice.

Paid Plans

Paid plans (when available) are billed on a monthly subscription basis and processed through Stripe. By subscribing, you authorise recurring charges to your payment method. Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.

Credits

Conversions are measured in credits. Credit allowances are determined by your plan. Unused credits do not roll over to the next billing cycle. Credit top-ups may be available on paid plans.

Refunds

All payments are non-refundable. You may cancel your subscription at any time, and you will retain access to your paid plan until the end of the current billing cycle.

5. Acceptable Use

You agree not to:

Upload malicious files or content designed to exploit the Service
Attempt to circumvent usage limits or rate limits
Use the Service for any illegal purpose
Reverse-engineer, decompile, or disassemble any part of the Service
Resell or redistribute access to the Service without written permission
Use automated means to access the Service beyond the provided API (when available)
Submit feedback that is abusive, defamatory, or contains personal information of others

Feedback submitted through the Service (such as ratings and comments) may be used to improve the product. By submitting feedback, you grant us the right to use it for this purpose.

6. API Usage

API access is available on select paid plans. API users must keep their API keys confidential and are responsible for all activity under their keys. We reserve the right to revoke API access for misuse, excessive load, or violation of these Terms. Rate limits apply per plan.

7. Intellectual Property

You retain all rights to the documents you upload and the Markdown output generated. Markdownly does not claim ownership of your content. The Markdownly brand, logo, and service design are our intellectual property.

8. Conversion Accuracy

We strive to produce accurate Markdown conversions, but we do not guarantee 100% accuracy. Complex layouts, scanned documents, and unusual formatting may result in imperfect output. You are responsible for reviewing and verifying conversion results before use.

9. Limitation of Liability

Markdownly is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to data loss, inaccurate conversions, or service interruptions. Our total liability shall not exceed the amount you paid for the Service in the preceding 12 months.

10. Indemnification

You agree to indemnify and hold harmless Markdownly and its operator from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Account Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users or the Service. Upon termination of a paid account, no refund will be issued for the remaining billing period.

12. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue the Service at any time with reasonable notice. Planned maintenance will be communicated in advance when possible.

13. Governing Law & Disputes

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. Material changes will be communicated via the Service or by email where possible.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Markdownly regarding your use of the Service and supersede any prior agreements.
